1. Acceptance of Terms

Welcome to VendHive (“VendHive,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your access to and use of https://bookvendhive.com and all related tools, dashboards, and services (collectively, the “Platform”). By accessing the Platform, submitting an inquiry, or creating a Vendor account, you agree to be bound by these Terms and our Privacy Policy.

2. Nature of the Marketplace (Platform Venue Only)

VendHive is an online discovery and lead-generation marketplace that enables event hosts, planners, and corporate buyers (“Buyers” or “Event Hosts”) to discover, request quotes from, and coordinate bookings with independent third-party service providers (“Vendors”).

VendHive is not a catering company, mobile bar operator, event planner, or employer of any Vendor. All Vendors listed on VendHive operate as independent business entities. Any agreement, service contract, deposit, or payment arrangement for event services is strictly between the Buyer and the Vendor. VendHive is not a party to any contract between Buyers and Vendors and does not guarantee the performance, safety, quality, or legality of any Vendor's services.

3. Event Host (Buyer) Terms & Responsibilities

• Accurate Event Inquiries: When submitting a quote request or concierge match form, you agree to provide truthful and accurate contact information, event dates, start and end time windows, locations, and guest counts. You may not submit spam, fraudulent inquiries, or competitor scraping requests.
• Direct Contracting & Payments: Package prices displayed on VendHive are starting estimates provided by the Vendor. Final pricing, travel fees, taxes, deposits, cancellation policies, and venue power/access requirements are agreed upon directly between you and the Vendor.
• Venue Permissions & Age Verification: Buyers are responsible for ensuring their event venue permits mobile carts, trailers, or outside vendors, and for complying with all local laws regarding events where alcoholic beverages are served to guests aged 21 and older.

4. Vendor Terms, Licensing & Insurance

By creating a Vendor profile or publishing a listing on VendHive, you represent, warrant, and agree that:

• Independent Business Compliance: You are a lawfully operating business or sole proprietorship and hold all required state, county, and municipal business licenses, health department permits, food handler certifications, and mobile vending permits applicable to the services you advertise.
• Alcohol & Beverage Compliance: If you offer alcoholic bar, cocktail, beer, or wine services, you warrant that you and your staff maintain all required state and local liquor licenses/catering permits, certified bartender credentials (such as TIPS or BASSET), and liquor liability insurance, and that you strictly verify legal drinking age (21+ in the United States) at all events.
• Insurance Coverage: You maintain appropriate Commercial General Liability (and, where applicable, Product/Food Liability, Liquor Liability, and Commercial Auto/Trailer) insurance for your operations.
• Listing & Calendar Accuracy: You will keep your service descriptions, package pricing, photos, and availability calendar (including blocked dates and booked time slots) accurate and up to date, and you will respond to Buyer inquiries professionally and in good faith.

5. User Content, Galleries & Reviews

• Vendor Media License: You retain full ownership of the photos, logos, and descriptions you upload to VendHive. By publishing a listing, you grant VendHive a worldwide, non-exclusive, royalty-free license to host, display, resize, and feature your listing content on the Platform, in search engine results, and in VendHive marketing materials. You warrant that you own or have permission to use all uploaded images.
• Authentic Reviews: Reviews must reflect genuine first-hand experiences with a Vendor. Vendors may not review their own listings or post fabricated reviews. VendHive reserves the right to remove reviews that contain hate speech, defamation, spam, or verifiable conflicts of interest.

6. Prohibited Conduct

You agree not to:

• Use automated bots, scrapers, or crawlers to harvest Vendor or Buyer contact information for unsolicited marketing.
• Impersonate another person or business, or misrepresent your affiliation with any Vendor.
• Upload malicious code, interfere with Platform security, or attempt to bypass authentication or rate limits.

7. Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. VENDHIVE DOES NOT WARRANT THAT ANY VENDOR WILL BE AVAILABLE FOR YOUR EVENT OR THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE.

8. Limitation of Liability & Indemnification

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VENDHIVE AND ITS FOUNDERS, OFFICERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DEPOSITS, OR DATA ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM OR ANY INTERACTION, CONTRACT, FOOD/BEVERAGE SERVICE, PROPERTY DAMAGE, OR DISPUTE BETWEEN A BUYER AND A VENDOR.

You agree to indemnify, defend, and hold harmless VendHive from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or connected with your breach of these Terms, your Vendor services, or your event.

9. Account Suspension & Termination

We reserve the right to suspend, unpublish, or terminate any Vendor listing or user account that violates these Terms, misleads Buyers, or engages in abusive behavior, at our sole discretion.
